Bylaws of the Zoological Society of Japan, Kyushu Branch

Article 1

This branch shall be called the Kyushu Branch of the Zoological Society of Japan, a Public Interest Incorporated Association.

Article 2

This branch shall locate its secretariat at a place designated by the branch manager.

Article 3

This branch is organized with the following members.
1 Regular Member: A member of the Zoological Society of Japan residing in Kyushu
2 Associate Member: Residents of Kyushu who have an interest in zoology and agree with the objectives of this branch.

Article 4

The purpose of this branch is to maintain close cooperation with the headquarters of the Zoological Society of Japan and other branches, to promote friendship and enhance knowledge among branch members, and thereby to contribute to the development and dissemination of zoology in Kyushu.

Article 5

The following bodies shall be established in this branch.
1 General Assembly
2 Committee (composed of officers)
3 Standing Committee (body responsible for executing day-to-day operations)

Article 6

The general meeting is the highest resolution-making body of this branch and is convened by the branch manager every year.
The branch manager shall convene an extraordinary general meeting when deemed necessary by the committee or upon the request of one-third or more of the regular branch members. The chairperson of the general meeting shall be elected from among the branch members each time.

Article 7

The duties of the general meeting shall be as follows.
1 Establishment and amendment of the rules
2 Determination of budget and approval of settlement of accounts
3 Determination of other important matters

Article 8

The general meeting shall be established with the attendance of a majority of the regular branch members (including those attending by proxy), and matters shall be decided by a majority of the attending regular branch members.

Article 9

The committee is a decision-making body acting on behalf of the general meeting regarding matters other than the duties of the general meeting, and its resolutions require the approval of the next general meeting.

Article 10

A committee meeting shall be established with the attendance of a majority of its members (including those attending by proxy), and decisions shall be made by a majority of the attending members. Committee meetings shall be convened by the branch manager. Furthermore, the branch manager must convene a meeting upon the request of three or more members.

Article 11

The Standing Committee is the body that executes matters decided by the General Assembly and committees as well as the daily operations of this branch. It is composed of standing committee members and is convened by the branch manager as needed.

Article 12

The following branch officers shall be appointed to this branch.
1 Branch Manager (also serving as Director)
2 Director
3 　Branch Representative Committee
4 Branch committee member 1 per prefecture
5. Standing Committee Members: Several positions (General Affairs, Public Relations, Accounting, etc.)
The quota, election methods, and terms of office for the branch manager, directors, and branch representative committee members shall comply with the Articles of Incorporation, Bylaws, and Branch Regulations of the Zoological Society of Japan. Branch committee members for each prefecture shall be elected from regular members who have declared their candidacy. Elections for branch committee members shall be conducted by secret ballot of all members of this branch, with the candidate receiving the most votes being declared the winner. Standing committee members shall be commissioned by the branch manager from among the regular members. The term of office for branch committee members and standing committee members shall be two years, and re-appointment shall not be precluded.

Article 13

This branch shall conduct the following activities.
1. Hold a branch convention once a year, including a general meeting and an academic lecture, and hold regular meetings as needed.
2. It shall conduct projects suitable for the purpose of this branch.

Article 14

The expenses of this branch shall be covered by branch membership fees and other income. The fiscal year of this branch begins in July and ends in June of the following year.

Article 15

Those wishing to join this branch as associate members must clearly state their address, name, and occupation, and apply to the branch secretariat along with the membership fee (donation).

Supplementary Provisions

Article 16

Those who can present their research at this branch conference shall, in principle, be regular members or associate members of this branch.

Article 17

If branch committee members cannot be elected in an election, the branch manager shall appoint the branch committee members.
