Bylaws of the Tohoku Branch of the Zoological Society of Japan
Chapter 1 General Provisions
(Name of the Branch)
Article 1 This organization shall be called the Tohoku Branch of the Zoological Society of Japan.
(Office)
Article 2. The branch office shall be located at a place designated by the branch manager.
Chapter 2: Purpose and Operations
(Purpose)
Article 3. In addition to the purposes set forth in the Articles of Incorporation of the Zoological Society of Japan, a Public Incorporated Association (hereinafter referred to as the "Articles of Incorporation"), the purpose is to contribute to the development of local biology education and science education.
Business
Article 4. The branch shall conduct the following activities to achieve the purpose of the preceding article.
(1) Holding academic meetings such as branch conferences and lectures
(2) Other operations necessary to achieve the objectives of the branch
Chapter 3: Members
(Member)
Article 5. The members of this branch shall be those members stipulated in the Articles of Incorporation who belong to the Tohoku Branch.
Chapter 4 Officers
(Executive)
Article 6. The branch shall have the following officers.
(1) Branch Manager
(2) Director
(3) Branch Representative Committee Member
(4) Branch Committee Member
(5) Branch Secretary
(Election of Officers)
Article 7. The branch manager shall be the candidate with the highest number of votes among the branch-elected directors resulting from the election for director candidates as stipulated in the Articles of Incorporation. In the event of a tie in the number of votes, the director with the longer membership history shall prevail.
2 Directors shall be appointed from among the directors elected by the branch offices, excluding the branch managers.
3 Branch representative committee members shall be those with the next highest number of votes following the branch-elected directors in the director candidate election. If the number of votes is tied, the member with the longer membership history shall be selected.
4. The six prefectures belonging to the Tohoku Branch—Aomori, Iwate, Akita, Miyagi, Yamagata, and Fukushima—are referred to as districts, and branch committee members shall be appointed by the branch manager from among the members of each district.
5. Branch executive secretaries shall consist of secretaries in charge of general affairs, accounting, and public relations, and shall be appointed by the branch manager from among the branch members.
(Duties of Officers)
Article 8 Officers shall constitute the board of officers and execute the business of the branch.
(Term of Office of Officers)
Article 11. The term of office of officers shall be two years.
2 When the branch manager is unable to perform their duties, the branch representative committee member shall act on behalf of the branch manager.
3 If a branch representative committee member is vacant, the runner-up in the board candidate election shall be declared elected to fill the vacancy, and their term of office shall be the remaining term of the predecessor.
4 Officers may be reappointed. However, branch managers, directors, and branch representatives may not remain in office for more than four consecutive years.
(5) Even if an officer has resigned or their term of office has expired, they shall continue to perform their duties until a successor assumes office.
Chapter 5: Engine
Branch General Meeting
Article 9. The branch general meeting shall be composed of the members set forth in Article 5.
Article 10. Branch general meetings shall, as a rule, be held ordinarily once every year.
2 The venue for the branch general meeting shall be in one of the districts specified in Article 7, Paragraph 4 of the Branch Regulations.
3 The branch general meeting shall not open proceedings and make resolutions unless a majority of the attendees of the branch convention are present.

4. The branch general meeting shall resolve the following matters.
(1) Establishment and revision of rules
(2) Other matters deemed necessary by the Board of Directors and the Officers' Meeting

Article 11. The board of officers shall be convened when the branch manager deems it necessary, or upon a request indicating the matters to be the purpose of the meeting made by one-third or more of the officers excluding the branch manager.
(2) A board of directors meeting cannot be held unless a majority of the directors are present; provided, however, that a person who has expressed their intention in writing in advance regarding the agenda in question or has delegated voting rights to another director as a proxy shall be deemed to be present.
3. When deemed necessary by the branch manager, board meetings may also be held using means of communication (email, facsimile, and postal mail), and a quorum of a majority of the board members is required for establishment.
Chapter 6 Branch Convention
(Branch tournament)
Article 12. As a general rule, branches shall hold a branch convention at the time of the regular branch general meeting to conduct research presentations and other activities.
(2) The tournament shall have a tournament chairperson, and may have a small number of other officers.
(3) The tournament chairperson shall be appointed by the branch manager with the approval of the board of directors, and other officers shall be appointed by the branch tournament chairperson.
(4) The chairperson of the branch convention shall prepare the business report and accounting report of the convention and submit them to the branch manager.
5. Participation fees may be collected to cover the operating expenses of the branch convention.
Chapter 7 Secretariat

Article 13. A secretariat shall be established to handle the administrative affairs of the branch.
Chapter 8: Amendment of Rules
(Change of Terms)
Article 14. Branch bylaws cannot be amended without the approval of at least two-thirds of the members present at both the board of directors and the general meeting.
Chapter 9: Supplementary Provisions
Article 15. These Terms of Service shall be implemented from August 1, 2013.
