The Nagasaki tournament in September is approaching, and I hope you are all doing well amidst the lingering summer heat.
Currently, due to provisions in the articles of incorporation, board members cannot receive any remuneration from the Zoological Society, including honoraria for general lectures, and auditors also cannot receive remuneration because remuneration regulations have not been established. Regarding this issue, the board of directors discussed the following two points:
1. Improving the current situation where directors and corporate auditors cannot receive lecture fees.
2. Clarify the compensation guidelines for directors and auditors, along with those for various committee members and branch committee members.
In response, we would like to proceed with amending the articles of incorporation and establishing remuneration regulations (with an annual limit of 20,000 yen). This revision will allow directors and executive officers to also receive lecture honorariums. However, even if the articles of incorporation and remuneration regulations are established, no remuneration or honorariums will be paid unless specific payment amounts are determined by the board of directors (for director remuneration) or the general meeting of members (for auditor remuneration). Specific discussions, including the remuneration amount (including 0 yen), are scheduled to take place at the next board of directors meeting (during the two-year term following the general meeting).
Changing the articles of incorporation requires the attendance of at least 2/3 of the members (including those by proxy or mail-in ballot). We kindly ask all members to submit either a proxy form or a mail-in ballot via the link below. Even those planning to attend the general meeting may submit them in advance.
